Terms of Service

1. Agreement to Terms

By using any service provided by Cornerstone Tech Innovations LLC (“Cornerstone Tech,” “we,” or “our”), you acknowledge that you have read, understand, and agree to be bound by these Terms of Service. If you do not agree to these terms, you must stop using our services immediately.

 

2. Services Provided

Cornerstone Tech Innovations LLC provides technology, cybersecurity, and automation solutions, which may include:

  • Managed IT Services with 24/7 monitoring and support

  • Co-Managed IT support and technology consulting

  • Cybersecurity solutions, compliance assistance, and risk assessments

  • AI voice systems, workflow automation, and digital transformation tools

  • Technical support, troubleshooting, and remote/on-site assistance

  • Cloud services, migrations, backups, and infrastructure management

  • Strategic IT planning and technology assessments

Services may vary depending on your service plan or agreement.

 

3. Client Responsibilities

Clients agree to:

  • Provide accurate, complete, and timely information needed for service delivery

  • Allow necessary access to systems, accounts, equipment, and personnel

  • Maintain active data backups unless Cornerstone Tech is contracted to manage them

  • Follow security recommendations, policies, and best practices provided by Cornerstone Tech

  • Ensure all software is properly licensed

  • Pay invoices in accordance with the agreed terms

  • Notify Cornerstone Tech promptly of changes to the IT environment

Cornerstone Tech is not responsible for delays caused by inaccurate information or limited system access.

 

4. Service Level Commitments (SLAs)

Unless otherwise stated in a written agreement, Cornerstone Tech follows these general service expectations:

  • 24/7 monitoring of critical systems and infrastructure

  • Response within 4 hours for critical issues during business hours

  • Next-business-day response for non-urgent support requests

  • Monthly reports on system health, security events, and performance

  • Quarterly business reviews for strategic planning and technology alignment

SLAs apply only to clients enrolled in Managed IT or Co-Managed IT service plans.

 

5. Limitation of Liability

To the fullest extent permitted by law, Cornerstone Tech’s total liability for any claim arising from services provided is limited to the amount the client paid for services in the previous 12 months.

Cornerstone Tech is not liable for:

  • Indirect, incidental, or consequential damages

  • Data loss resulting from client actions, system misuse, or third-party failures

  • Business interruption caused by factors outside our reasonable control

  • Issues caused by failure to follow security recommendations

  • Damages resulting from unauthorized modifications to systems, networks, or configurations

Clients are responsible for maintaining proper backups unless otherwise agreed in writing.

 

6. Termination of Services

Either party may terminate services with 30 days’ written notice.

Immediate termination may occur if:

  • Invoices remain unpaid for more than 60 days

  • Security policies or acceptable-use guidelines are violated

  • Services or systems are used for illegal or unauthorized purposes

  • Confidentiality obligations are breached

Upon termination, Cornerstone Tech may revoke access to services, tools, and systems. All outstanding balances remain due.

 

7. Ownership & Intellectual Property

Cornerstone Tech Innovations LLC retains ownership of all tools, scripts, automation workflows, documentation, and methodologies developed during service delivery.

Clients retain ownership of:

  • Their data

  • Business-specific configurations, accounts, and credentials

  • Custom deliverables documented as client-owned

Clients may not reproduce, modify, or distribute Cornerstone Tech intellectual property without written consent.

 

8. Confidentiality

Both parties agree to protect all confidential or sensitive information shared during the course of the service relationship. Confidential information will not be disclosed to unauthorized parties unless required by law.

 

9. Updates to These Terms

Cornerstone Tech may update or modify these Terms of Service at any time. Continued use of our services following any updates constitutes acceptance of the revised terms.
